These Terms of Service (“Terms”) govern your use of the Vonson Trade website and your purchase or use of our sourcing and consulting services.
By using our website, requesting our services, or engaging Vonson Trade for a sourcing project, you agree to these Terms.
If you do not agree with these Terms, please do not use our website or services.
1. About Vonson Trade
Vonson Trade is a Canada-based sourcing agency that assists businesses with identifying, evaluating, and working with suppliers and manufacturers, primarily in China.
We do not manufacture the products we source.
We do not generally purchase products from suppliers and resell them to clients.
Our role is to provide sourcing, research, coordination, negotiation, inspection, and related services according to the scope agreed with the client.
2. Our Services
Depending on the service selected, Vonson Trade may provide:
- Supplier research
- Supplier shortlisting
- Business registration verification
- Supplier background research
- Quote comparison
- Landed cost analysis
- Sample coordination
- Supplier communication
- Price and MOQ negotiation
- Purchase order coordination
- Production follow-up
- Pre-shipment inspection coordination
- Export documentation guidance
- HS code guidance
- Freight coordination
- Customs broker coordination
- Ongoing sourcing support
The exact services included in your project are determined by the service package, quotation, proposal, or written agreement provided to you.
3. Client Responsibilities
You are responsible for providing accurate and complete information about your product and purchasing requirements.
This may include:
- Product specifications
- Quantities
- Drawings
- Reference samples
- Images
- Materials
- Packaging requirements
- Branding requirements
- Delivery destination
- Required certifications
- Target timelines
You are also responsible for reviewing and approving supplier quotations, samples, specifications, purchase orders, and other important commercial documents before proceeding.
Delays caused by incomplete, inaccurate, or late information may affect project timelines.
4. Supplier Relationships
We may introduce you to suppliers that we believe are suitable for your requirements.
You are ultimately responsible for deciding whether to purchase from a particular supplier.
Unless otherwise agreed in writing, the supplier is responsible for manufacturing and supplying the products according to the agreed specifications and commercial terms.
5. Direct Payment to Suppliers
Clients generally pay suppliers directly.
Vonson Trade does not represent itself as the seller of the products unless expressly agreed otherwise in writing.
Supplier invoices, deposits, balances, product costs, freight charges, duties, taxes, and other third-party expenses are separate from Vonson Trade’s service fees unless explicitly stated otherwise.
6. No Supplier Commissions or Kickbacks
Vonson Trade does not accept undisclosed supplier commissions, kickbacks, rebates, or referral payments for recommending suppliers to clients.
Our compensation for sourcing services is paid by the client and disclosed before work begins.
We believe our recommendations should be based on the client’s requirements rather than an undisclosed financial incentive from a supplier.
7. Supplier Verification
We make reasonable efforts to research and verify suppliers using available information and appropriate verification methods.
However, supplier verification cannot guarantee that a supplier will:
- Perform exactly as promised
- Maintain the same ownership or management
- Maintain the same financial condition
- Produce consistently
- Deliver on time
- Meet every specification
- Remain in business
- Avoid future quality or commercial disputes
Supplier verification is a risk-reduction service, not a guarantee of supplier performance.
8. Product Quality
We can help coordinate samples, quality requirements, and pre-shipment inspections where included in your service.
However, Vonson Trade is not the manufacturer of the products.
We do not warrant that products manufactured by third parties will be free from defects or will meet your expectations unless we have expressly provided a separate written warranty.
Clients should review samples, specifications, inspection reports, and supplier agreements before approving production.
9. Inspections
Where an inspection is performed, it is intended to provide additional information about the goods at the time of inspection.
An inspection does not guarantee that every defect will be identified or that the products will remain in the same condition after inspection.
Inspection services do not replace appropriate product testing, certification, regulatory review, or professional quality assurance where required.
10. Tariffs, Duties, Taxes & Customs
Tariffs, customs duties, taxes, import requirements, and other government charges depend on the product, HS/HTS classification, country of origin, destination, applicable trade measures, and regulations in effect at the time of import.
Any tariff or landed-cost information we provide is an estimate unless expressly stated otherwise.
Clients remain responsible for applicable import duties, taxes, customs charges, brokerage fees, and regulatory requirements.
Where appropriate, we can provide HS code guidance and coordinate with customs brokers, but we do not replace a licensed customs broker or qualified customs professional.
11. Shipping and Delivery
Shipping times are estimates unless a specific delivery commitment has been agreed in writing.
Freight delays can result from weather, port congestion, customs, carrier schedules, production delays, inspections, government actions, or other circumstances outside our control.
Vonson Trade is not responsible for delays caused by third-party manufacturers, carriers, freight forwarders, customs authorities, or other service providers.
12. Fees and Payment
Service fees are communicated before work begins.
Unless otherwise agreed in writing:
- Fees are payable according to the payment schedule provided with your service.
- Third-party expenses are separate from our service fees.
- Sample costs, freight, inspections, testing, duties, taxes, customs charges, and similar expenses may be billed separately.
- Additional work outside the agreed scope may require additional fees.
Failure to make required payments may result in suspension or termination of services.
13. Cancellations and Refunds
Cancellation and refund eligibility depends on the service purchased and how much work has already been completed.
Because sourcing services involve research, communication, supplier outreach, and other work performed specifically for a client, fees relating to completed work may be non-refundable.
Any specific cancellation or refund terms stated in a proposal, invoice, or written service agreement will apply to that project.
14. Confidentiality
We will take reasonable steps to protect confidential business information you provide to us.
However, sourcing work may require us to disclose relevant product information to potential suppliers, manufacturers, inspection providers, freight providers, or other parties necessary to perform the requested service.
You should clearly identify information you consider confidential and let us know if particular information should not be disclosed to suppliers.
15. Intellectual Property
You retain ownership of intellectual property that you provide to us, including your trademarks, product designs, photographs, specifications, drawings, and other materials, subject to any rights held by third parties.
You represent that you have the right to provide such materials and authorize us to use them for the purpose of performing the requested sourcing services.
Our website content, branding, text, graphics, and other materials belonging to Vonson Trade may not be copied, reproduced, or commercially used without permission.
16. No Guarantee of Commercial Results
Our services are designed to reduce sourcing complexity and help you make informed decisions.
We do not guarantee:
- A particular product price
- A particular supplier
- A specific profit margin
- A particular sales volume
- Successful product sales
- Supplier acceptance of a target price
- Manufacturing success
- A specific shipping date
- Customs clearance
- A particular tariff rate
- Product certification
- The absence of defects
Business and purchasing decisions remain the client’s responsibility.
17. Limitation of Liability
To the maximum extent permitted by applicable law, Vonson Trade will not be responsible for indirect, incidental, special, consequential, or punitive losses arising from a supplier relationship, product purchase, manufacturing issue, shipping delay, customs issue, or third-party service.
Our liability for services provided by Vonson Trade will, to the extent permitted by law, be limited to the fees actually paid to Vonson Trade for the specific service giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.
18. Third-Party Services
We may coordinate with third parties such as manufacturers, inspection companies, freight forwarders, customs brokers, laboratories, payment providers, and other service providers.
Those third parties operate independently and may have their own terms and policies.
Vonson Trade is not responsible for the independent acts or omissions of third-party service providers except to the extent required by applicable law.
19. Website Use
You agree not to:
- Use the website for unlawful purposes
- Attempt to gain unauthorized access to our systems
- Interfere with website security or operation
- Submit fraudulent or misleading information
- Copy or exploit website content without permission
- Use our website to violate the rights of others
We may suspend access to the website where reasonably necessary to protect our business, users, systems, or legal rights.
20. Changes to Services and Terms
We may update our services, pricing, website content, or these Terms from time to time.
Updated Terms will be posted on this page with a revised “Last Updated” date.
Changes will not retroactively alter a written agreement that has already been entered into unless required by law or agreed by the parties.
21. Governing Law
These Terms are intended to be governed by the laws of Ontario, Canada, and the applicable federal laws of Canada, without regard to conflict-of-law principles.
Any dispute will be subject to the jurisdiction of the applicable courts of Ontario, Canada, unless otherwise required by applicable law or agreed in a separate written agreement.
Have your Canadian legal counsel confirm this section before publication, particularly if your contracts are with customers located throughout the United States.
